Welcome to Base Logic AI. These Terms and Conditions (“Terms”) govern your use of our services, including website design, hosting, maintenance, AI automation, CRM, bespoke software development, and marketing systems. - Definitions
- “Client” means the individual or business purchasing services from Base Logic AI.
- “Services” means website design, hosting, maintenance, marketing systems, AI automation, CRM software, bespoke software development, and related services provided by Base Logic AI.
- Client Responsibilities
Clients are responsible for:
- Providing all necessary content (including text and images) within 48 hours of request.
- Ensuring provided content complies with copyright, privacy, and applicable legal standards.
- Granting Base Logic AI access to third-party platforms or tools as required.
Base Logic AI is not responsible for delays or issues resulting from incomplete, late, or non-compliant content.
- Services Provided
Core services include:
- Website design and creation
- Hosting and domain management
- Ongoing maintenance and support
- AI automation and CRM systems
- Bespoke software development and business development
Optional add-ons may include:
- Marketing services
- Content updates and SEO
- Custom integrations and advanced functionality
Additional fees may apply for services outside standard offerings.
- Hosting and Maintenance
Hosting includes regular backups, uptime monitoring, and basic support. We strive to maintain 99.9% uptime but are not liable for downtime caused by third-party hosting providers or factors beyond our control.
Maintenance includes up to two content updates per month and bug fixes. Excessive updates, major redesigns, or new features may incur additional fees.
- Delivery and Turnaround Times
- Initial website design is aimed for delivery within 14 business days after receiving all required materials from the Client.
- Updates and maintenance requests are typically completed within 5 business days unless otherwise agreed.
- Client delays (such as late content) may impact delivery timelines.
- Service Fees and Payment Terms
- Payment is due before any work begins.
- Late payments will not incur a charge, but services may be paused until payment is received.
- All prices are exclusive of VAT unless explicitly stated otherwise.
- We may adjust pricing with 30 days’ written notice.
6.1 Monthly Maintenance Fee
- Your Monthly Maintenance Fee covers the total cost of your hosting and any other Services you subscribe to in your plan (for example, maintenance, monitoring, standard updates within the monthly allowance, and included platform features).
- The Monthly Maintenance Fee is billed in advance and is non-refundable for partial months or unused services.
- Changes to your subscribed services will be reflected in your Monthly Maintenance Fee from the next billing cycle.
- Third-party licence costs, premium plugins, paid integrations, excessive update requests, emergency work, and project-based enhancements are not included and may be billed separately.
- We may update the inclusions or pricing of the Monthly Maintenance Fee with 30 days’ notice.
- Termination Policy
- Clients may cancel services with 30 days’ written notice.
- Early termination fees may apply if specified in a contract.
- No refunds are issued for partial months or unused services.
- Base Logic AI may terminate services for breach of these Terms or non-payment.
- Ownership and Intellectual Property
- Clients own the content they provide.
- Websites and deliverables created by Base Logic AI are the Client’s property upon full payment.
- Proprietary templates, code, and software remain the intellectual property of Base Logic AI and may not be resold or reused without our written consent.
- Disclaimers
- We do not guarantee specific outcomes such as increased traffic or sales.
- Clients are responsible for ensuring their website complies with applicable laws and standards, including GDPR and accessibility requirements.
- We are not liable for issues arising from third-party services, integrations, or factors outside our control.
9.1 Reliance on Information Posted
The information presented on or through our websites, platforms, documentation, training materials, dashboards, reports, or communications is provided for general information and personal or business use only. While we aim to keep information accurate and up to date, we make no representations or warranties as to the accuracy, completeness, reliability, or usefulness of any such information.
Any reliance you place on this information is strictly at your own risk. To the fullest extent permitted by law, Base Logic AI disclaims all liability and responsibility arising from any reliance placed on such information by you or any other user, or by anyone who may be informed of its contents.
This includes, but is not limited to, information relating to marketing performance, SEO visibility, automation outcomes, AI-generated content, analytics, projections, recommendations, or third-party tools and integrations.
- Amendments
We may update these Terms periodically. Clients will be notified via email or on our website at least 30 days before changes take effect.
- Limitation of Liability
To the fullest extent permitted by law, Base Logic AI is not liable for indirect or consequential losses, including loss of profits, data, or business opportunities. Our total liability will not exceed the fees paid by the Client for the specific service giving rise to the claim.
- Governing Law
These Terms are governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.
